The following risks entail circumstances under which, our DAO, financial condition, results of operations and prospects could suffer.

Terms & Definitions

  • Platform: The combination of all (third-party) tools, platforms, technologies, and accounts used by Retail DAO.
  • Project: Retail DAO.
  • (Project) Token: $RETAIL, Retail DAO Token.

Risks

  • The Platform may fail to develop sufficient user interest, scale, operability, adoption, or usability to attract developers, users, members, and other participants.

  • Token holders’ ability to transfer or resell tokens may be limited, and an active trading market may not develop.

  • Alternative platforms may emerge that compete with or are more widely adopted than the Platform, or the Platform may struggle to compete with other platforms or traditional centralized platforms offering similar services.

  • The technology underlying the Platform may contain flaws, errors, or fail to function as intended, negatively impacting adoption and use of Project tokens and the Platform.

  • The Platform may be vulnerable to malicious cyberattacks or contain exploitable flaws in its code, leading to security breaches. Compromised security or attacks that hinder user access could cause users to reduce or cease using the Platform.

  • Token holders have no ownership rights (e.g., to assets, accounts, or content); all rights are tied to membership access to platforms and tools operated by the Project.

  • Influential team members may cease participation in Platform activities at any time, potentially leading to a loss of confidence in the Platform or negatively affecting the prospects of Project tokens.

  • Project tokens may be subject to hacking, theft, or other malicious attacks, which could result in token holders losing access to some or all of their tokens.

  • Governance Power Imbalance: Due to the inherent properties of DAO governance, large token holders may exert disproportionate influence, leading to centralization and concentrated decision-making power. Additionally, there is a risk of "hostile governance takeovers," where malicious actors could manipulate the voting process by acquiring substantial token amounts, potentially compromising the DAO’s assets or integrity.

  • The regulatory framework governing the Platform and Project tokens is highly uncertain in many jurisdictions, making it challenging to identify and comply with unsettled or evolving regulations.

  • Legal and regulatory factors may hinder the successful launch, development, adoption, or utilization of the Platform and Project tokens.

  • The tax characterization and treatment of Project tokens are uncertain and may vary across jurisdictions.
